TERMS OF SERVICE

These Terms of Service ("Terms") govern your access to and use of Envera OS and any related software, applications, websites, integrations, platforms, and services provided by Envera Technologies (360) Limited, trading as Envera Group ("Envera", "we", "us", or "our").
By accessing or using Envera OS, you agree to be bound by these Terms.
If you do not agree to these Terms, you must not use Envera OS or our related Services.

1. ABOUT ENVERA OS
Envera OS is a business software platform designed to help organisations manage business information, workflows, documents, calendars, communications, integrations, and related operational activities.
Envera OS may include integrations with third-party services.
At present, Envera OS integrates with Google for:

Google Calendar
-
Google Drive
Additional integrations and functionality may be introduced in the future.
2. ELIGIBILITY
You must be at least 18 years old to use Envera OS unless otherwise permitted by applicable law.
By accessing or using Envera OS, you confirm that:

You are legally capable of entering into these Terms;

The information you provide is accurate and complete;

You are authorised to use any account, organisation, or third-party service that you connect to Envera OS;
-
You will use Envera OS only for lawful purposes; and
-
Your use of Envera OS will comply with applicable laws and regulations.
If you use Envera OS on behalf of a business, company, or other organisation, you confirm that you have authority to accept these Terms on behalf of that organisation.
3. USER ACCOUNTS
Certain Envera OS features may require you to create an account.
You are responsible for:

Maintaining the confidentiality of your login credentials;

Keeping your account details accurate;

Protecting your password and authentication information;
-
Preventing unauthorised access to your account; and
-
Activity carried out through your account.
You must notify us promptly if you know or reasonably suspect that your account has been accessed without authorisation.
We may suspend or restrict an account where we reasonably believe there has been:

Unauthorised access;
-
Fraud;
-
Abuse;
-
A security incident;
-
Unlawful activity; or
-
A breach of these Terms.
4. GOOGLE ACCOUNT INTEGRATION
Envera OS allows users to connect a Google Account in order to use certain Google Calendar and Google Drive functionality.
When you connect a Google Account:

Google will display the permissions requested by Envera OS;

You decide whether to grant those permissions;
-
Envera OS only receives access after you approve the requested permissions;
-
Envera OS does not receive your Google Account password;
-
Access is limited to the permissions authorised by you; and
-
You may revoke access at any time through your Google Account settings.
Your use of Google services is also subject to Google's applicable terms and policies.
5. GOOGLE CALENDAR FUNCTIONALITY
Where authorised by you, Envera OS may provide functionality involving Google Calendar.
Depending on the permissions you grant, this may include the ability to:

View calendar events;

Display schedules;
-
View event details;
-
Create calendar events;
-
Update calendar events;
-
Delete calendar events;
-
View event attendees;
-
View meeting information;
-
View event locations;
-
Check availability;
-
Synchronise authorised calendar information;

Link events with Envera OS records or workflows; and
-
Use other calendar-related functionality available within Envera OS.
The exact functionality available depends on the Google permissions you have granted and the features available within Envera OS.
You remain responsible for reviewing calendar changes before or after they are made through Envera OS.
6. GOOGLE DRIVE FUNCTIONALITY
Where authorised by you, Envera OS may provide functionality involving Google Drive.
Depending on the permissions you grant, this may include the ability to:

Display files and folders;

Browse authorised Drive content;
-
Select files;
-
Open or retrieve authorised files;
-
Upload files;
-
Download files;
-
Create folders;
-
Update files;
-
Update file metadata;
-
Organise files and folders;
-
Link Google Drive files with Envera OS records or workflows;
-
Synchronise authorised file information; and
-
Use other file-management functionality available within Envera OS.
The exact functionality available depends on the Google permissions you have granted.
You remain responsible for ensuring that you have the appropriate rights and permissions to access, modify, upload, share, or otherwise manage any Google Drive content through Envera OS.
7. GOOGLE API SERVICES
Envera's access to and use of information received through Google APIs is governed by our Privacy Policy.
Envera Technologies (360) Limited's use and transfer to any other application of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements.
Google user data is used only to provide or improve authorised, user-facing Envera OS functionality.
We do not use Google user data for unrelated advertising, marketing, data brokerage, or unrelated profiling.
8. REVOKING GOOGLE ACCESS
You may revoke Envera OS's access to your Google Account at any time through your Google Account security or third-party connection settings.
Where available, you may also disconnect your Google integration directly within Envera OS.
After access is revoked, Google-related functionality within Envera OS may stop working.
Revoking access does not necessarily automatically delete information previously stored by Envera OS.

9. ACCEPTABLE USE
You must use Envera OS responsibly and lawfully.
You must not use Envera OS to:

Violate any applicable law or regulation;

Access information you are not authorised to access;

Access another person's account without permission;
-
Circumvent authentication or security controls;
-
Introduce viruses, malware, ransomware, or malicious code;
-
Interfere with the operation of Envera OS;
-
Attack, overload, disrupt, or damage our systems;
-
Carry out unauthorised vulnerability testing;
-
Scrape or harvest information without authorisation;
-
Commit fraud;
-
Impersonate another person or organisation;
-
Send unlawful spam or malicious communications;
-
Upload unlawful, abusive, defamatory, or harmful content;
-
Infringe intellectual property rights;
-
Use the Services to harm another person;
-
Attempt to gain unauthorised access to our infrastructure;
-
Reverse engineer protected parts of Envera OS except where permitted by applicable law; or
-
Use Envera OS in a way that could materially damage Envera, our users, or our infrastructure.
10. USER CONTENT
You may create, upload, connect, manage, or store information through Envera OS.
You retain ownership of content and information that you own.
You grant Envera a limited right to process your content only as reasonably necessary to:

Provide Envera OS;

Store information;
-
Display information;
-
Process instructions;
-
Synchronise connected services;
-
Provide integrations;
-
Operate workflows;
-
Maintain security;
-
Diagnose technical problems;
-
Provide customer support; and
-
Comply with applicable legal obligations.
This right does not transfer ownership of your content to Envera.
11. GOOGLE USER CONTENT
Envera does not claim ownership of your Google Calendar or Google Drive content.
Google user data remains subject to the restrictions contained in our Privacy Policy.
Where Envera OS accesses Google data, the access is limited to:

The permissions you have granted;

Functionality requested by you; and
-
The purposes described in our Privacy Policy.
12. YOUR RESPONSIBILITIES
You are responsible for:

Information you enter into Envera OS;
-
Files you upload;
-
Accounts you connect;
-
Actions you perform through connected integrations;
-
Maintaining appropriate backups where necessary;
-
Ensuring you have the right to process information you provide;
-
Obtaining any necessary permissions from employees, customers, clients, or other individuals; and
-
Complying with applicable privacy, employment, business, and data-protection laws.
If you use Envera OS to process information relating to other individuals, you are responsible for ensuring that you have a lawful basis for doing so where required.
13. THIRD-PARTY SERVICES
Envera OS may connect to or depend on services operated by third parties, including Google.
Third-party services are operated independently from Envera.
Your use of a third-party service may be governed by that provider's:

Terms of service;

Privacy policy;
-
Usage restrictions;
-
Account rules; and
-
Technical requirements.
We do not control third-party services and cannot guarantee their continued availability or functionality.
14. THIRD-PARTY API CHANGES
Certain Envera OS functionality depends on third-party APIs.
A third-party provider may:

Modify its API;
-
Change permissions;
-
Restrict access;
-
Discontinue functionality;
-
Introduce new requirements;
-
Change pricing; or
-
Remove features.
These changes may affect functionality within Envera OS.
We may modify or remove affected Envera OS features where necessary in response to third-party changes.
15. SERVICE AVAILABILITY
We aim to provide reliable access to Envera OS.
However, we do not guarantee that Envera OS will always be:

Available;
-
Uninterrupted;
-
Free from errors;
-
Free from delays; or
-
Compatible with every device, browser, operating system, or third-party service.
Envera OS may become unavailable because of:

Scheduled maintenance;
-
Emergency maintenance;
-
Software updates;
-
Infrastructure failures;
-
Network failures;
-
Security incidents;
-
Third-party outages;
-
Google service outages;
-
Internet connectivity issues; or
-
Circumstances outside our reasonable control.
16. CHANGES TO ENVERA OS
We may modify Envera OS from time to time.
Changes may include:

Adding new functionality;
-
Changing existing functionality;
-
Removing functionality;
-
Improving security;
-
Improving performance;
-
Changing the user interface;
-
Updating integrations;
-
Changing technical requirements; or
-
Responding to legal or regulatory requirements.
We are not required to maintain every feature indefinitely.
17. SOFTWARE UPDATES
We may deploy software updates to Envera OS.
Updates may be required to:

Correct defects;
-
Improve performance;
-
Improve reliability;
-
Improve security;
-
Add functionality;
-
Change integrations; or
-
Maintain compatibility with third-party services.
Some updates may change how features operate.
18. FEES AND PAID SERVICES
Some Envera OS features may be provided as paid Services.
Where charges apply:

Pricing will be communicated before purchase or set out in a separate agreement;
-
You are responsible for fees applicable to your account;
-
Taxes may apply;
-
Payment terms may be provided separately; and
-
Access to paid functionality may depend on continued payment.
Business customers may also have a separate contract with Envera containing additional commercial terms.
19. SUBSCRIPTIONS
Where Envera OS is supplied through a subscription, the subscription may continue until cancelled or terminated in accordance with the applicable subscription terms.
Where automatic renewal applies, renewal information will be provided as required by applicable law.
We may change subscription prices in accordance with applicable contracts and legal requirements.
20. CANCELLATION
You may stop using Envera OS at any time.
If you have a paid subscription, cancellation will be subject to the subscription or commercial agreement applicable to your account.
Cancellation does not automatically entitle you to a refund for previously paid charges unless:

The applicable agreement provides for a refund; or
-
A refund is required by law.
21. SUSPENSION
We may temporarily suspend access to all or part of Envera OS where reasonably necessary.
This may occur where:

We identify a security threat;
-
Your account appears compromised;
-
We reasonably suspect fraud or abuse;
-
You breach these Terms;
-
Your use threatens the security or availability of the Services;
-
Required fees remain unpaid;
-
A third-party provider restricts required access; or
-
We are legally required to suspend access.
Where appropriate and reasonably possible, we may provide notice of a suspension.
22. TERMINATION
We may terminate your access to Envera OS where reasonably necessary, including where:

You materially breach these Terms;
-
You repeatedly breach these Terms;
-
You engage in unlawful activity;
-
Your use creates a serious security risk;
-
Required fees remain unpaid;
-
Continuing to provide the Service would breach applicable law; or
-
We discontinue the relevant Service.
You may also stop using Envera OS at any time, subject to any applicable commercial agreement.
23. DATA AFTER TERMINATION
After an account is terminated or deleted, access to information stored through Envera OS may become unavailable.
You are responsible for exporting information you require before termination where export functionality is available.
Following termination, information may be:

Deleted;
-
Anonymised;
-
Retained temporarily in backups; or
-
Retained where required by law.
Personal information and Google user data will be handled in accordance with our Privacy Policy.
24. DATA BACKUPS
Although we may maintain backups as part of our infrastructure, Envera OS should not necessarily be treated as the sole backup location for important business information unless this is expressly stated in a separate agreement.
You are responsible for maintaining appropriate copies of important information where necessary.
25. PRIVACY
Our processing of personal information is governed by our Privacy Policy.
Our Privacy Policy explains, among other things:

What information we collect;

How information is used;
-
How Google Calendar data is handled;
-
How Google Drive data is handled;
-
How information may be shared;
-
How Google OAuth credentials are handled;

How information is secured;
-
How long information may be retained;
-
How to revoke Google access;

How to request deletion; and

Your data-protection rights.
You should read the Privacy Policy before using Envera OS.
26. SECURITY
We implement reasonable technical and organisational safeguards designed to protect Envera OS and information processed through our Services.
However, no online service can guarantee complete security.
You are responsible for protecting:

Your Envera OS account;
-
Passwords;
-
Devices;
-
Authentication credentials;
-
Google Accounts;
-
Connected third-party accounts; and
-
Other credentials used to access the Services.
You must notify us promptly if you believe your account has been compromised.
27. INTELLECTUAL PROPERTY
Envera OS and its associated software, user interfaces, branding, designs, databases, documentation, technology, and other intellectual property are owned by or licensed to Envera unless otherwise stated.
These Terms do not transfer ownership of Envera OS or Envera intellectual property to you.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use Envera OS for its intended purpose during the period in which you are authorised to access it.
You must not, except where legally permitted:

Copy substantial parts of Envera OS;

Reproduce our software;
-
Sell or redistribute Envera OS;
-
Remove proprietary notices;
-
Create unauthorised derivative products;
-
Misrepresent ownership of our Services; or
-
Use Envera trademarks or branding without permission.
28. FEEDBACK
You may choose to provide feedback, suggestions, or ideas regarding Envera OS.
Where you provide voluntary feedback, you permit us to use that feedback for the purpose of improving Envera OS without an obligation to compensate you.
This does not give Envera ownership of your personal data, Google user data, files, or other user content.
Google user data is not treated as general feedback and remains subject to our Privacy Policy.
29. CONFIDENTIAL INFORMATION
In some circumstances, Envera OS may be used in connection with confidential business information.
Where a separate commercial or confidentiality agreement exists between Envera and your organisation, that agreement may contain additional confidentiality obligations.
You are responsible for ensuring that information you place into Envera OS is handled in accordance with your own confidentiality obligations.
30. DISCLAIMER
Envera OS is provided on an "as available" basis to the extent permitted by applicable law.
While we aim to provide reliable and useful Services, we do not guarantee that:

Envera OS will always be uninterrupted;
-
Every feature will always be available;
-
The Services will always be error-free;
-
Every defect will be corrected immediately;
-
Information obtained from third parties will always be accurate;
-
Third-party integrations will always remain available; or
-
Envera OS will meet every specific business requirement.
Nothing in these Terms excludes rights or guarantees that cannot legally be excluded.
31. BUSINESS DECISIONS
Envera OS may provide tools, information, workflow assistance, summaries, recommendations, or automated functionality.
You remain responsible for reviewing information and making your own business decisions.
You should not rely solely on Envera OS where independent professional, legal, financial, regulatory, or other specialist advice is required.
32. AUTOMATED AND AI-ASSISTED FUNCTIONALITY
Certain Envera OS features may use automated systems or artificial intelligence to assist with tasks such as:

Organising information;
-
Summarising content;
-
Supporting workflows;
-
Processing user requests;
-
Producing recommendations; or
-
Assisting users in locating information.
Automated output may occasionally be incomplete, inaccurate, or unsuitable for a particular purpose.
Users are responsible for reviewing important outputs before relying on or acting upon them.
Google Calendar and Google Drive user data, where processed through automated features, remains subject to the restrictions set out in our Privacy Policy.
33. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, Envera will not be liable for indirect, incidental, special, or consequential loss resulting from your use of, or inability to use, Envera OS.
This may include loss relating to:

Profits;

Revenue;
-
Business opportunities;
-
Anticipated savings;
-
Goodwill;
-
Business interruption; or
-
Third-party service interruptions.
Nothing in these Terms excludes or limits liability where it would be unlawful to do so.
This includes liability that cannot legally be excluded or limited.
34. THIRD-PARTY OUTAGES
Certain Envera OS features depend on third-party infrastructure and services, including Google APIs.
We are not responsible for service interruptions caused by:

Google service outages;
-
Google API outages;
-
Third-party infrastructure failures;
-
Changes to third-party services;
-
Changes to third-party permissions;
-
Suspension of a user's third-party account;
-
Internet connectivity problems; or
-
Events outside our reasonable control.
We may make reasonable efforts to restore or adapt affected Envera OS functionality.
35. INDEMNITY
To the extent permitted by applicable law and, where relevant, any separate commercial agreement, business users agree to be responsible for losses or claims arising from:

Their unlawful use of Envera OS;
-
Their breach of these Terms;
-
Content they upload without appropriate rights;
-
Their violation of third-party rights; or
-
Their misuse of connected third-party services.
This section does not affect rights that cannot lawfully be excluded.
36. CHANGES TO THESE TERMS
We may update these Terms from time to time.
Changes may reflect:

Changes to Envera OS;
-
New functionality;
-
New integrations;
-
Legal requirements;
-
Regulatory requirements;
-
Security changes;
-
Commercial changes; or
-
Changes to our business operations.
The revised Terms will display an updated "Last updated" date.
Where changes are material and applicable law requires notice, we may notify users through Envera OS, our website, email, or another appropriate method.
37. GOVERNING LAW
These Terms are governed by the laws of England and Wales, except where mandatory laws applicable to you provide otherwise.
Subject to applicable law, disputes arising from these Terms or the use of Envera OS will be subject to the jurisdiction of the courts of England and Wales.
38. SEVERABILITY
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply.
Where permitted, the invalid provision will be interpreted or modified only to the extent necessary to make it valid and enforceable.
39. WAIVER
If we do not immediately enforce a provision of these Terms, this does not mean that we waive our right to enforce it later.
A waiver of one provision does not constitute a waiver of another provision.
40. ASSIGNMENT
You may not transfer your rights or obligations under these Terms without our prior written consent where such consent is legally permitted to be required.
We may transfer our rights or obligations where reasonably necessary as part of:

A corporate restructuring;

Merger;
-
Acquisition;
-
Sale of assets; or
-
Similar business transaction.
41. ENTIRE AGREEMENT
These Terms, together with our Privacy Policy and any separate agreement applicable to your use of Envera OS, form the agreement governing your use of the Services.
Where your organisation has entered into a separate written agreement with Envera and that agreement conflicts with these Terms, the separate written agreement may take precedence to the extent stated in that agreement.

GOOGLE SERVICES NOTICE
Envera OS integrates with Google Calendar and Google Drive.
Users choose whether to connect their Google Account and which permissions to authorise through Google's OAuth consent process.
Envera Technologies (360) Limited's use and transfer to any other application of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements.
Google user data is accessed only where authorised by the user and only for the purpose of providing or improving relevant user-facing Envera OS functionality.
Users may revoke Envera OS's access to their Google Account at any time through their Google Account settings.
Information about access, storage, sharing, security, revocation, and deletion of Google user data is provided in the Envera OS Privacy Policy.
